These Terms and Conditions govern your access to and use of the Vanta Bio Labs website, your purchase of products, and any other interaction you have with Vanta Bio Labs. Vanta Bio Labs is a trading name operated by Vanta Group Enterprises Ltd, a company registered in the United Arab Emirates (“Vanta Bio Labs,” “we,” “us,” or “our”). By visiting our website, creating an account, submitting an order, or purchasing any product, you confirm that you have read, understood, and agreed to these Terms and Conditions. Do not access the website or place an order if you do not agree to these Terms and Conditions.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to access our website or purchase products from us. By using the website or placing an order, you represent and warrant that:
  • You are at least 18 years old;
  • You have the legal capacity to enter into this agreement;
  • The information you provide is accurate and complete;
  • Your purchase is lawful in your country or jurisdiction;
  • You are qualified to purchase, receive, handle, store, and use the products;
  • You will use the products only for lawful research purposes; and
  • You will comply with all applicable laws, regulations, professional standards, and safety requirements.
We may request age, identity, address, payment, professional, institutional, or other verification before accepting or dispatching an order.

2. Research Use Only

All products sold by Vanta Bio Labs are supplied strictly for:
  • Laboratory research;
  • Analytical testing;
  • In-vitro research;
  • Scientific investigation;
  • Product development; or
  • Other lawful, controlled, non-clinical research purposes.
Our products are not medicines, pharmaceutical products, dietary supplements, cosmetics, foods, or consumer healthcare products. Unless expressly stated otherwise in writing, our products are:
  • Not approved for human consumption;
  • Not intended for human or veterinary use;
  • Not intended for diagnosis, treatment, mitigation, cure, or prevention of any disease;
  • Not intended to affect the structure or function of the human or animal body;
  • Not intended for household use; and
  • Not intended to be administered, ingested, injected, inhaled, applied, or otherwise introduced into the human or animal body.
The customer accepts full responsibility for the lawful handling, storage, transportation, testing, use, and disposal of all purchased products. Any misuse of our products is strictly prohibited and is entirely outside the intended purpose for which they are supplied.

3. No Medical Advice

Nothing published on our website, product pages, certificates of analysis, emails, social media pages, marketing materials, or other communications constitutes:
  • Medical advice;
  • Healthcare advice;
  • Treatment advice;
  • Dosing guidance;
  • A diagnosis;
  • A prescription;
  • A recommendation for human or veterinary use; or
  • A representation that a product is safe or effective for any clinical purpose.
Product names, scientific descriptions, research summaries, references, articles, or links are provided only for general informational and research-identification purposes. You must not rely on any content from Vanta Bio Labs when making medical, healthcare, treatment, or veterinary decisions.

4. Customer Responsibilities

Before purchasing a product, you are responsible for:
  • Reviewing the complete product description;
  • Confirming that the product is suitable for your lawful research purpose;
  • Confirming that you possess the appropriate knowledge, facilities, equipment, and safety procedures;
  • Confirming that purchasing and importing the product is lawful in your location;
  • Obtaining any required permits, licences, approvals, or registrations;
  • Reviewing available analytical documentation;
  • Implementing appropriate storage and handling procedures; and
  • Ensuring that only appropriately qualified individuals have access to the product.
You are solely responsible for determining the applicable legal, regulatory, safety, and technical requirements relating to your purchase.

5. Prohibited Activities

You must not:
  • Purchase or use products for human or veterinary administration;
  • Resell products for human consumption or clinical use;
  • Relabel, repackage, or market products as medicines, supplements, cosmetics, foods, or healthcare products;
  • Make medical, therapeutic, or disease-related claims concerning our products;
  • Provide false identity, payment, shipping, age, or professional information;
  • Use the website for fraudulent, unlawful, abusive, or deceptive activity;
  • Attempt to interfere with the operation or security of the website;
  • Introduce malicious software, automated scraping systems, or unauthorized code;
  • Copy, reproduce, or exploit website content without permission;
  • Circumvent geographic, payment, compliance, or account restrictions; or
  • Purchase products on behalf of a person prohibited from accessing them.
We may suspend accounts, reject orders, cancel transactions, restrict website access, or report suspected unlawful activity where we reasonably believe these Terms have been violated.

6. Product Information

We aim to provide accurate product names, specifications, quantities, concentrations, images, descriptions, batch information, and availability. However:
  • Product images may be illustrative;
  • Packaging, labels, vial appearance, seals, colours, and presentation may vary between batches;
  • Minor visual differences do not necessarily indicate a product defect;
  • Website information may contain typographical or technical errors;
  • Product availability may change without notice; and
  • Website content may be corrected or updated at any time.
Customers must independently verify that a product meets their particular research requirements. We reserve the right to correct errors, inaccuracies, or omissions and to cancel an affected order where necessary.

7. Certificates of Analysis

Where available, certificates of analysis are provided for quality-control and informational purposes. A certificate of analysis:
  • Applies only to the particular sample or batch identified;
  • Reflects the testing methods and conditions used by the relevant laboratory;
  • Does not constitute approval by a medical, pharmaceutical, food, or regulatory authority;
  • Does not establish suitability for human or veterinary use;
  • Does not replace the customer’s own testing and verification; and
  • Does not constitute medical or safety advice.
Customers conducting regulated or sensitive research should independently test products before use.

8. Accounts and Account Security

You may be required to create an account to access certain website features. You are responsible for:
  • Providing accurate account information;
  • Keeping your login details confidential;
  • Restricting unauthorized access to your account;
  • Updating outdated information; and
  • Informing us promptly if you suspect unauthorized access.
You are responsible for activity carried out through your account unless prohibited by applicable law. We may suspend or terminate an account where we identify suspected fraud, misuse, unlawful activity, security risks, chargeback abuse, or a violation of these Terms.

9. Orders

Submitting an order constitutes an offer to purchase the selected products under these Terms and Conditions. An order confirmation confirms that we have received your order. It does not necessarily mean that the order has been accepted or dispatched. We may accept, decline, suspend, limit, or cancel an order for reasons including:
  • Product unavailability;
  • Pricing or website errors;
  • Payment failure;
  • Suspected fraud;
  • Compliance concerns;
  • Shipping restrictions;
  • Customs or import concerns;
  • Sanctions or trade restrictions;
  • Unusual order volume;
  • Incorrect customer information;
  • Suspected prohibited use; or
  • Any other legitimate legal, safety, operational, or commercial reason.
A binding sale is formed only after we accept the order and begin fulfilment or dispatch. Where we cancel an order before dispatch, any payment collected for the cancelled products will be handled in accordance with applicable law and the relevant payment-provider procedures.

10. Order Accuracy

You must review your order carefully before completing checkout. You are responsible for confirming:
  • The correct product;
  • The correct concentration or quantity;
  • The number of units;
  • Your full name;
  • Your billing address;
  • Your shipping address;
  • Your country and postal code;
  • Your email address; and
  • Your telephone number.
Once payment has been completed and the order has entered processing, the order cannot be voluntarily cancelled, modified, combined, or redirected.

11. Prices and Payment

Prices are displayed in the currency shown on the website at the time of checkout. Unless expressly stated otherwise, product and shipping prices do not include:
  • Customs duties;
  • Import taxes;
  • Local VAT or sales taxes;
  • Brokerage fees;
  • Customs-clearance charges;
  • Courier surcharges;
  • Storage fees; or
  • Other government or third-party charges.
Customers are responsible for all charges imposed in their destination country. Payments are processed through third-party payment providers, including Stripe. Available methods may include debit card, credit card, Apple Pay, and Google Pay, depending on the customer’s device, country, and payment-provider eligibility. We do not ordinarily receive or store complete payment-card details. You authorize us and our payment providers to:
  • Process the amount displayed at checkout;
  • Conduct fraud, identity, and security checks;
  • Verify billing and transaction details; and
  • Provide relevant transaction information to banks, card networks, fraud-prevention providers, and authorities where necessary.
We may cancel an order where payment cannot be authorized or verified.

12. Promotions and Discount Codes

Promotions and discount codes:
  • Are valid only during the stated promotional period;
  • May be restricted to selected products, customers, or regions;
  • Cannot be exchanged for cash;
  • Cannot be applied retrospectively;
  • Cannot normally be combined unless expressly stated;
  • May be limited to one use per customer, household, payment method, address, or account; and
  • May be withdrawn where fraud, duplication, misuse, or technical error is identified.
We may cancel or adjust an order where a promotional code has been used contrary to its stated conditions.

13. Shipping and Delivery

Orders are shipped through DHL and, where applicable, DHL’s local delivery partners. Shipping availability, costs, processing, tracking, delivery attempts, customs responsibility, damaged parcels, and lost shipments are governed by our separate Shipping Policy, which forms part of these Terms and Conditions. Delivery dates and transit times are estimates and are not guaranteed. We are not responsible for delays caused by DHL, customs authorities, border inspections, weather, transportation disruption, incorrect address information, force majeure, import restrictions, or other circumstances outside our reasonable control.

14. International Orders and Customs

Customers are solely responsible for confirming that the products may be lawfully:
  • Purchased;
  • Imported;
  • Delivered;
  • Possessed;
  • Stored;
  • Tested;
  • Used; and
  • Disposed of
in their destination country or jurisdiction. We do not guarantee that a product will clear customs or satisfy local regulatory requirements. Vanta Bio Labs is not responsible for shipments that are delayed, inspected, held, refused, seized, confiscated, destroyed, abandoned, or returned by customs authorities, border agencies, couriers, or regulators. The customer is responsible for all permits, declarations, taxes, duties, fees, and supporting documentation. Customs delays, refusals, seizures, and import restrictions do not create an entitlement to a voluntary refund, replacement, reshipment, exchange, or store credit.

15. No Returns and No Voluntary Refunds

Due to product-integrity, quality-control, safety, and contamination concerns, all sales are final. We do not accept returns. We do not provide voluntary:
  • Refunds;
  • Partial refunds;
  • Exchanges;
  • Store credits;
  • Reimbursements; or
  • Product substitutions.
This applies to circumstances including:
  • Change of mind;
  • Accidental orders;
  • Ordering the wrong product;
  • Ordering the wrong concentration or quantity;
  • Personal dissatisfaction;
  • Delivery refusal;
  • Failure to collect a shipment;
  • Incorrect customer-provided address information;
  • Customs delays or seizures;
  • Products no longer being wanted or required; and
  • Products that have been opened, handled, stored, tested, altered, or used.
Nothing in these Terms excludes a remedy that we are legally required to provide under applicable mandatory law. Full conditions are provided in our separate Refunds, Returns and Order Issues Policy, which forms part of these Terms and Conditions.

16. Damaged, Missing or Incorrect Orders

You must inspect your shipment immediately upon delivery. Problems involving damaged products, missing products, incorrect products, or incorrect quantities must be reported within 48 hours of the delivery time recorded by DHL. Your report must include:
  • Your order number;
  • Your DHL tracking number;
  • A detailed description of the issue;
  • Photographs of the outer shipping package;
  • Photographs of the shipping label;
  • Photographs of all products received;
  • Photographs clearly showing the reported problem; and
  • An unedited unboxing video, where available or requested.
You must retain all products, vials, labels, seals, shipping materials, and packaging until our investigation is complete. Products must not be opened, reconstituted, tested, used, altered, discarded, or transferred while a claim is under review. Reports made after the 48-hour period may be rejected. Submitting a report does not automatically entitle you to a refund, replacement, exchange, reshipment, or credit. Any resolution will depend on our investigation and the requirements of applicable law.

17. Storage and Handling

You are responsible for safely receiving, handling, storing, testing, transporting, and disposing of products. Storage information shown on a product page, label, or certificate must be followed. Customers should also independently determine appropriate storage conditions for their intended research. We are not responsible for deterioration, contamination, degradation, loss, or damage caused after delivery by:
  • Incorrect storage;
  • Temperature exposure;
  • Light exposure;
  • Moisture;
  • Mishandling;
  • Contamination;
  • Reconstitution;
  • Repeated opening;
  • Transfer to another container;
  • Unauthorized access;
  • Use after an appropriate storage period; or
  • Failure to follow suitable laboratory procedures.

18. Assumption of Risk

Research materials may involve known and unknown hazards. By purchasing products, you acknowledge that:
  • You understand the nature of the materials ordered;
  • You possess or will obtain appropriate technical and safety information;
  • You have suitable facilities and equipment;
  • You will implement appropriate protective measures;
  • You accept responsibility for persons who access the products; and
  • You assume the risks associated with possession, handling, storage, testing, use, transportation, and disposal.
You must not purchase a product unless you are capable of handling it safely and lawfully.

19. Website Availability

We aim to keep the website available and functional, but we do not guarantee uninterrupted or error-free access. We may suspend, restrict, modify, or discontinue all or part of the website for:
  • Maintenance;
  • Security;
  • Technical problems;
  • Compliance reasons;
  • Business changes;
  • Third-party service failures; or
  • Circumstances outside our control.
We are not liable for temporary website unavailability or for an order that cannot be placed because of a technical issue.

20. Third-Party Services and Links

Our website may use or link to services operated by third parties, including payment processors, couriers, analytics providers, social-media platforms, laboratories, and external information sources. We do not control and are not responsible for third-party:
  • Websites;
  • Terms;
  • Privacy practices;
  • Content;
  • Availability;
  • Security;
  • Representations; or
  • Services.
Accessing a third-party service is at your own discretion and may be subject to separate terms and policies.

21. Intellectual Property

All website content, including the Vanta Bio Labs name, logos, graphics, photographs, product images, layouts, designs, text, icons, videos, and software, is owned by or licensed to Vanta Group Enterprises Ltd unless otherwise stated. You may not copy, reproduce, publish, distribute, modify, sell, license, scrape, commercially exploit, or create derivative works from our content without prior written permission. You may view and use the website only for personal or internal business purchasing purposes. No licence or ownership right is transferred to you by your use of the website.

22. Reviews, Feedback and User Content

Where you submit a review, testimonial, image, comment, suggestion, or other content, you confirm that:
  • The content is truthful;
  • You have the right to submit it;
  • It does not infringe another person’s rights;
  • It does not contain confidential information;
  • It is not misleading, defamatory, abusive, unlawful, or obscene; and
  • It does not promote prohibited human or veterinary use of our products.
You grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, adapt, and use submitted content for website, customer-service, and marketing purposes, subject to applicable privacy law. We may remove user content that violates these Terms or creates a legal, safety, reputational, or compliance concern.

23. Fraud, Abuse and Chargebacks

You must contact us and allow a reasonable opportunity to investigate an order issue before initiating a chargeback or payment dispute. We may provide payment processors with relevant:
  • Order records;
  • Account details;
  • Delivery confirmation;
  • Tracking information;
  • Communications;
  • Website acceptance records;
  • Fraud-screening results; and
  • Evidence relating to the transaction.
Fraudulent, misleading, or abusive chargebacks may result in account suspension, refusal of future orders, recovery action, or reporting to payment providers and relevant authorities. Nothing in this section prevents a customer from exercising a legitimate right available under applicable law or card-network rules.

24. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the website, website content, and products are provided on an “as available” and “as supplied” basis. Except for any express written product specification and any warranty that cannot legally be excluded, we disclaim implied warranties, representations, and conditions, including implied warranties of:

  • A shipment will clear customs; or
  • Third-party services will operate without interruption.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Vanta Group Enterprises Ltd, Vanta Bio Labs, and their owners, directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses. This includes loss relating to:
  • Profits;
  • Revenue;
  • Business;
  • Research;
  • Opportunity;
  • Data;
  • Reputation;
  • Product misuse;
  • Customs action;
  • Courier delay;
  • Improper storage;
  • Unauthorized access;
  • Personal injury resulting from prohibited use; or
  • Reliance on website information as medical or healthcare advice.
Where liability cannot legally be excluded, our aggregate liability arising from a particular order will, to the extent permitted by law, not exceed the amount paid directly to us for the product giving rise to the claim. Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable consumer-protection law.

26. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Vanta Group Enterprises Ltd, Vanta Bio Labs, and their owners, directors, officers, employees, contractors, and affiliates from claims, losses, liabilities, penalties, expenses, and reasonable legal costs resulting from:
  • Your unlawful or prohibited use of a product;
  • Human or veterinary administration;
  • Your resale, relabelling, or redistribution of products;
  • Your breach of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person’s rights;
  • False information supplied by you; or
  • The actions of another person who obtains products through you or your account.
This section does not apply to the extent a claim was directly caused by conduct for which we cannot legally exclude responsibility.

We may suspend or terminate your account, refuse access, cancel pending orders, or prohibit future purchases where we reasonably believe that:
  • You have violated these Terms;
  • You have engaged in fraud or chargeback abuse;
  • Products may be used unlawfully;
  • You have provided false information;
  • Your activity creates a legal or safety risk;
  • You are subject to applicable sanctions or restrictions; or
  • Continuing the commercial relationship is not reasonably appropriate.
Provisions that are intended to survive termination, including intellectual-property, liability, indemnification, dispute, and governing-law provisions, will continue to apply.

The Terms in effect when an order is placed will generally govern that order, except where a change is required by law or applies to ongoing website access.

31. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary. The remaining provisions will continue in full force and effect.

32. No Waiver

A delay or failure by us to enforce a provision does not waive our right to enforce that provision or any other provision later. Any waiver must be expressly confirmed by us in writing.

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a restructuring, merger, acquisition, sale, financing, or transfer of our business, subject to applicable law.

34. Entire Agreement

These Terms and Conditions, together with our:
  • Privacy Policy;
  • Shipping Policy;
  • Refunds, Returns and Order Issues Policy;
  • Cookie Policy; and
  • Any product-specific or promotional conditions
constitute the agreement between you and Vanta Bio Labs relating to your website use and purchases. If there is a conflict between these Terms and a product-specific written condition, the product-specific condition will apply only to the extent of that conflict.

35. Governing Law and Jurisdiction

These Terms and Conditions and any non-contractual obligations arising from them are governed by the applicable laws of the United Arab Emirates. Subject to any mandatory consumer rights or jurisdictional protections that cannot legally be excluded, disputes will be submitted to the competent courts of the United Arab Emirates. Before starting formal proceedings, the parties should attempt in good faith to resolve the dispute through written communication.
